Welcome to https://training.demis.emis.go.ug , (the "Site"). The Site is operated by Ministry of Education and Sports, king Vi, George Street, P.O. Box 7063, Kampala, Uganda. (Herein referred to as either: " Ministry of Education and Sports " or "we" in accordance with these Terms and Conditions of Use (herein referred to as "Terms".

1. Acceptance of the Terms

These Terms govern your use of any services made available through the Site or Ministry of Education and Sports software ("Software"), whether by us, our affiliates and/or any third party on our behalf (together with the Site and the Software, the "Services By using the Services or any part thereto, you acknowledge that you have read and understood these Terms, including the Privacy Policy, and you agree to be bound by them and to comply with all applicable laws and regulations regarding your access and use of the Services.").

If you do not agree to these terms and/or the privacy and security policy or other policies, guidelines, or instructions posted on the Site, do not use the Services.

If there is a conflict or inconsistency between these Terms and the rules, license agreement, user agreement or other terms and conditions for a specific use of the Services, or for specific content download or use, the latter shall have precedence with respect to your access and use of that area of the Services.

2. Prohibited Activities

In connection with your use of the Services, except as permitted under the “Presentations” section below, we expressly forbid you to:

a)

Reproduce, duplicate, copy, or otherwise exploit material made available in connection with the Services for a commercial purpose;

b)

Edit or otherwise modify any material made available in connection with the Services;

c)

Use any part of the Services in any way that causes, or may cause, damage, or impairment of the availability or accessibility of Ministry of Education and Sports and the Services, or in any way which is unlawful, illegal, fraudulent, or harmful or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;

d)

Use the material made available in connection with the Services to copy, store, host, transmit, send, use, publish, or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit, or other malicious computer software;

e)

Conduct any systematic or automated data collection activities on or in relation to the material made available in connection with the Services without Ministry of Education and Sports express written consent. This includes:

Scraping;
Data Mining;
Data Extraction;
Data Harvesting;
“Framing”- iFrames;
Article Spinning.

f)

Use the material made available in connection with the Services, or any part of it, to transmit or send unsolicited communications;

g)

Use the Services to distribute or make available for download media files (images, audio or video) or any other types of files, for purposes other than distributing content created by using the Services.

h)

3. Password Security

You hereby acknowledge and agree:

not to share your password, account information, or access to Ministry of Education and Sports Content;
that you are responsible for maintaining the confidentiality of password(s) and account information and for all activities that occur under your password(s) or Account(s) or as a result of your access to the Ministry of Education and Sports Platform; and
to immediately notify Ministry of Education and Sports of any unauthorized use of your Account or any other breach of security. Ministry of Education and Sports will not be liable for any loss and/or damage you may incur as a result of someone else using your password and Account with or without your permission.

4. Severability

If a provision of these terms and conditions is determined by any court, or other competent authority, to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

5. Entire Agreement

These Terms, together with the Ministry of Education and Sports Privacy Policy constitute the entire agreement between you and Ministry of Education and Sports in relation to your use of the Services and supersede all previous agreements in respect of your use of the Services.

6. Law and Jurisdiction

These terms and conditions will be governed by and construed in accordance with the laws of the Republic of Uganda, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of the Republic of Uganda.

7. Variation

i): The Ministry of Education and Sports may revise these Terms from time to time, with or without prior notice. Revised terms and conditions will apply to the use of the Services from the date of the publication of the revised Terms on the Site. Please check this page regularly to ensure you are familiar with the current version.

8. Limited Liability Entity

You accept that, Ministry of Education and Sports has an interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against Ministry of Education and Sports officers or employees in respect of any losses you suffer in connection with the Services.

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in the Services disclaimer will protect Ministry of Education and Sports officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as Ministry of Education and Sports

9. Indemnity

i): You hereby undertake to indemnify Ministry of Education and Sports and to keep Ministry of Education and Sports harmless against any losses, damages, costs, liabilities, and expenses (including without limitation legal expenses, and any amounts paid by Ministry of Education and Sports to a third party in settlement of a claim or dispute on the advice of Ministry of Education and Sports legal advisers) incurred or suffered by Ministry of Education and Sports arising out of any breach by you of any provision of these Terms, or arising out of any claim that you have breached any provision of these terms and conditions.

10. Additional Actions by the Ministry of Education and Sports

Without prejudice to the Ministry of Education and Sports other rights under these Terms, if you breach these Terms in any way, Ministry of Education and Sports may take such action as Ministry of Education and Sports deems appropriate to deal with the breach, including suspending your access to the Services, prohibiting you from accessing the Services, blocking computers using your IP address from accessing the Services, contacting your internet service provider to request that they block your access to the Services, and/or bringing court proceedings against you.

11. Term & Termination

i): Breach of Terms

THE MINISTRY OF EDUCATION AND SPORTS RESERVES THE RIGHT, TO DELETE, DISABLE, TERMINATE AND/OR SUSPEND YOUR FREE/PAYING USER ACCOUNT INCLUDING ALL THE SUBSCRIPTION CONTENT, AT ANY POINT, AT THE MINISTRY OF EDUCATION AND SPORTS SOLE DISCRETION AND WITHOUT PRIOR NOTICE, IF THE MINISTRY OF EDUCATION AND SPORTS REASONABLY BELIEVES THAT:
ii): You violate these Terms;
iii): there has been unauthorized use of your access credentials
iv): You have infringed upon the intellectual property rights of others.
v): There has been a breach by you of any of your representations, warranties, or obligations under these Terms.

Upon the deletion of your User account, the following will occur:

Your User Account shall be cancelled and closed, and your User ID and password shall be deactivated;

PLEASE NOTE THAT THE TERMINATION OR DELETION OF YOUR USER ACCOUNT SHALL NOT RELIEVE YOU OF ANY OBLIGATIONS THAT MAY HAVE ARISEN PRIOR TO SUCH TERMINATION.

12. Intellectual Property Ownership

The Services (including without limitation, the design, functionality, and documentation related thereto) and all content included on or in connection with the Services, including Third Party Materials (as defined below) , all text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and software and all trademarks, service marks, brand and trade names and logos appearing on the Site or Software or otherwise ("Ministry of Education and Sports 's Content"), , are and shall remain at all times the sole and exclusive property of Ministry of Education and Sports or its third party content suppliers, and is protected by international copyright laws. The User agrees that other than with respect to the limited rights of use as provided under these Terms, such User shall not have or be deemed as having any rights of any nature in Ministry of Education and Sports 's Content.

13. Third-Party

1. Third-Party Material

Users may be able to access, review, display or use third-party services, resources, content, or information (collectively, the "Third Party Materials" via the Services or any of its features.

The User acknowledges sole responsibility for and assumes any and all risks arising from its access to, use of, or reliance upon any such Third-Party Materials. Ministry of Education and Sports disclaims any liability that User may incur arising from its access to, use of, or reliance upon such Third-Party Materials through the Services. User acknowledges and agrees that Ministry of Education and Sports: (i) is not responsible for the availability, accuracy, integrity, quality or lawfulness of such Third-Party Materials or the products or services on or available from such Third-Party Materials; (ii) has no liability to User or any third party for any damage, harm, or loss suffered as a result of its access to or use of such Third-Party Materials. User's ability to access or link to Third-Party Materials or any third-party services does not imply any endorsement or warranty by Ministry of Education and Sports of Third-Party Materials or any such third-party services.

2. Export to Third Party Platforms

Some Plans may enable you to export certain User Content made by you to various social media platforms (such as YouTube, Facebook, Wistia, etc.). (the "Third Party Platforms"). The option to export such content is implemented in accordance with each respective platform’s Data API Client Application and subjected to such Third-Party Platform’s respective terms of use and Privacy Policy.

The User is advised that in order to upload User Content to a specific platform, the User may be required to create a separate account on such platform (as applicable). The User hereby acknowledges and agrees that Ministry of Education and Sports will not be responsible for any claim, damages, or liability that may occur due to its use of the Third-Party Platforms.

14. Third Party Copyright Policy

Ministry of Education and Sports is not responsible for breach of copyright laws should a user choose to screencast their Presentation for the purpose of using copyrighted videos or content. Ministry of Education and Sports takes no responsibility, nor can be held liable, for any breach carried out by a User with third party software. It is each client’s responsibility to uphold and respect their countries’ copyright laws.

15. Limitations of Liability

The Ministry of Education and Sports does not warrant that the functional aspects of the Services will be available without interruption, error-free, or that the Services or the servers that make it available are free of viruses or other harmful components. The Ministry of Education and Sports reserves the right to correct, at any time, and without prior notice, any errors in the Services. If your use of the Services, results in the need for servicing or replacing property, material, equipment or data, or results in injury to persons or damage to property, Ministry of Education and Sports is not responsible for those costs.

Without limiting the foregoing, you acknowledge and agree that everything associated with the Services, are provided “AS IS” and “as available” without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
